By creating an account, clicking "I Agree," or using the SocialVibe platform (the “Service”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (the “Terms”) and our [Privacy Policy]. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that entity.

2. Modifications

We may revise these Terms at any time. Material changes will be announced via email or in‑app notice at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

3. Definitions

  • AI Output – Text, media, or analytics generated by Service machine‑learning models.

  • Content – All information, data, text, images, audio, video, and code uploaded to or generated within the Service, including AI Output.

  • Third‑Party Platforms – External services (e.g., X/Twitter, Facebook, Instagram, LinkedIn, TikTok, YouTube) connected via official APIs.

4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into contracts. Accounts for entities or persons on applicable sanctions lists are prohibited.

5. Account Registration & Security

  • Provide accurate, complete information and keep it updated.

  • You are responsible for safeguarding passwords, API keys, and OAuth tokens.

  • Notify us immediately of any unauthorised use or security breach.

6. Subscription, Billing & Fees

  1. Plans & Pricing – Details are published on our website. Fees are exclusive of taxes.

  2. Free Trials – Conclude automatically, converting to a paid plan unless cancelled before the trial ends.

  3. Auto‑Renewal – Subscriptions renew at the then‑current rate unless cancelled.

  4. Refunds – Except as required by law or our 30‑day satisfaction guarantee, all payments are non‑refundable.

  5. Chargebacks – Contested payments may result in account suspension pending resolution.

7. License to Use the Service

We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service solely in accordance with these Terms.

8. Acceptable Use Policy

You agree not to:

  • Violate any laws or third‑party rights (including intellectual‑property, privacy, and publicity rights).

  • Post or schedule illegal, harmful, deceptive, harassing, hateful, pornographic, or violent content.

  • Send spam, automated bulk messages, or engage in platform manipulation or disinformation.

  • Reverse engineer, scrape, or attempt to gain unauthorised access to the Service or Third‑Party Platforms.

  • Exceed usage limits, circumvent rate‑limit headers, or abuse APIs.

We reserve the right to review, remove, or block Content or accounts at our sole discretion.

9. User Content & Rights

  1. Ownership – You retain all rights in User Content.

  2. License to Us – You grant SocialVibe a worldwide, royalty‑free license to host, process, display, and transmit User Content solely to provide and improve the Service.

  3. Responsibility – You represent and warrant that you have all necessary rights and consents to grant the above license and to post the Content through the Service.

10. AI‑Generated Content

  • AI Output may be inaccurate, inappropriate, or infringe third‑party rights. You are solely responsible for reviewing, editing, and ensuring compliance of AI Output before publication.

  • While we endeavour to avoid producing infringing or disallowed content, you must perform due diligence including fact‑checking and rights clearance.

  • Unless you opt‑in, your private Content is not used to train SocialVibe’s public models.

11. Third‑Party Platforms & Integrations

  • Use of Third‑Party Platforms is subject to their respective terms and policies (e.g., Meta Platform Terms, X API Terms).

  • We cannot guarantee that scheduled posts will publish if a Third‑Party Platform experiences outages, policy changes, or rate‑limit adjustments.

  • You authorise us to control your connected accounts solely to post, retrieve analytics, and manage content as instructed by you.

12. Data Protection & Privacy

  • We process personal data in accordance with our Privacy Policy and applicable laws, including UK GDPR, EU GDPR, CCPA, and other regional regulations.

  • For data processing where we act as "processor" and you as "controller," our Data Processing Addendum (DPA) applies.

13. Security

We implement industry‑standard technical and organisational measures. However, no system is perfectly secure; you acknowledge risk and agree to adopt reasonable safeguards.

14. Beta Features

Pre‑release or beta features are provided “as is” and may be changed or discontinued at any time with little or no notice.

15. Service Availability & Support

We target 99.9% monthly uptime but do not guarantee uninterrupted Service. Planned maintenance will be scheduled outside UK business hours when feasible.

16. Intellectual Property

  • SocialVibe (and its licensors) owns all Service software, trademarks, and content excluding User Content.

  • You grant us a perpetual, irrevocable, royalty‑free license to use feedback you provide without restriction.

17. Third‑Party Links & Services

The Service may contain links to or allow integrations with third‑party websites or services. We are not responsible for such services.

18. Disclaimers

  • No Warranty – The Service is provided on an “as‑is” and “as‑available” basis with no warranties of any kind.

  • AI Output – We disclaim liability for decisions made or actions taken based on AI Output.

  • No Professional Advice – Content and AI Output do not constitute legal, financial, or other professional advice.

19. Limitation of Liability

To the maximum extent permitted by law:

  • SocialVibe shall not be liable for any indirect, consequential, punitive, or special damages, even if advised of the possibility.

  • SocialVibe’s aggregate liability arising out of or related to the Service shall not exceed the amounts paid by you to SocialVibe in the 12 months preceding the claim.

20. Indemnification

You agree to indemnify and hold harmless SocialVibe, its affiliates, officers, and employees from any claim arising out of your (a) misuse of the Service, (b) violation of these Terms, or (c) infringement of any third‑party right.

21. Term, Suspension & Termination

  • These Terms remain in effect while you use the Service.

  • We may suspend or terminate your access for breach of these Terms, non‑payment, or legal compliance reasons.

  • Upon termination, your license ends and we may delete your Content after 30 days. Sections 9–22 survive termination.

22. Export, Sanctions & Compliance

You may not use the Service in violation of export control laws or for any individual or entity on government‑issued sanctions lists.

23. Governing Law & Dispute Resolution

  • If you are located in the UK, EEA, or Switzerland: These Terms are governed by the laws of England & Wales. Disputes will be resolved by the courts of London unless you opt for binding arbitration under LCIA rules.

  • If you are located elsewhere: These Terms are governed by the laws of Delaware, USA. Any dispute shall be finally resolved by binding arbitration under AAA rules in Wilmington, Delaware.

  • Class Action Waiver – Disputes must be brought individually, not as a class action.

24. Electronic Communications

You consent to receive notices and communications electronically.

25. Miscellaneous

  • Assignment – You may not assign these Terms without our prior written consent.

  • Entire Agreement – These Terms (including policies referenced herein) are the entire agreement between us.

  • Severability – If any provision is held unenforceable, the remainder remains in effect.

  • Waiver – A waiver of any term is effective only if in writing and signed by us.

  • Force Majeure – We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, internet outages, strikes, or government actions).
